Terms of Use for Monkey Library by Tech Bedoya Inc.

1. Acceptance of Terms

Welcome to Monkey Library Manager, a product of Tech Bedoya Inc. ("we," "us," or "our"), a company located in Quebec, Canada. By accessing or using the Monkey Library application ("the App"), you agree to comply with and be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, please do not use the App.

2. Description of Service

Monkey Library is a software application that allows users to manage, browse, categorize, and share personal media files. The App stores metadata about your media, such as file names, tags, and organizational preferences, but does not store the media files themselves. By using the App, you can efficiently organize and navigate your media collection.

All media references within the platform are external URLs provided by users, pointing to content stored in their own third-party storage accounts (such as Google Drive, Dropbox, Amazon S3, Bunny.net, or similar services). Monkey Library functions exclusively as an organizational layer — it does not store, host, transmit, or serve any video files, image files, or other media content on its own servers. Tech Bedoya Inc. has no access to, and does not process or review, the actual content of any linked media files. No content is publicly accessible without authentication.

3. User Accounts

a. Registration

To use certain features of the App, you must create an account. When you register, you agree to provide accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

b. Subscription Fees

Monkey Library is a subscription-based service. By subscribing, you agree to pay the fees applicable to your selected plan as described at the time of registration or on the pricing page.

Subscription fees are governed by our Refund & Cancellation Policy, available at monkeylibrary.app/refund-cancellation-policy, which includes a 14-day money-back guarantee for new subscribers. Please review that policy before subscribing. Annual plans are billed upfront for the full subscription period.

c. Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in any behavior that is harmful to other users or the App.

4. User Responsibilities

a. Lawful Use

You agree to use the App in compliance with all applicable laws and regulations. You may not use the App for any illegal or unauthorized purpose.

b. Prohibited Activities

You agree not to:

  • Interfere with or disrupt the operation of the App or the servers or networks used to make the App available

  • Attempt to gain unauthorized access to any part of the App or other accounts, computer systems, or networks connected to the App

  • Upload, post, or otherwise transmit any material that contains viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of the App

  • Submit links to content you do not have the legal right to access or organize

  • Use the platform to facilitate unauthorized distribution, public performance, or reproduction of copyrighted media

  • Scrape, crawl, or extract data from the platform through automated means without prior written authorization from Tech Bedoya Inc.

  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity

  • Use the platform for any commercial purpose not expressly authorized by these Terms

  • Violate any applicable local, provincial, national, or international law or regulation

c. Spaces

A Space is the core organizational unit of the platform — a user-owned, optionally shareable media library container. Each Space has its own catalog, branding, and role-based access controls.

Ownership. The user who creates a Space is its owner and is solely responsible for all content metadata, external links, and member activity within that Space. Space owners may invite collaborators with editor or viewer roles.

Public Spaces. Space owners may elect to make their Space publicly discoverable within the platform. Public Spaces are still access-controlled — they are not publicly accessible on the internet and cannot be indexed by search engines. Users must be authenticated and subscribed to join or view a public Space.

Content responsibility. All metadata records, external links, and organizational content added to a Space are the sole responsibility of the Space owner and its editors. Tech Bedoya Inc. does not review, monitor, or endorse the content of any Space.

5. User Content, External Links & Copyright

a. Nature of user content

Users do not upload media files to Monkey Library. Instead, users submit metadata records and external URL references pointing to media files stored in their own third-party storage accounts. The submission of any external URL or metadata record constitutes "User Content" under these Terms.

b. User warranty and representation

By adding any external link, metadata record, or other content to the platform, you represent, warrant, and agree that:

  • You have the legal right to access, organize, and reference the linked media content

  • The linked content does not infringe the copyright, trademark, or other intellectual property rights of any third party

  • The linked content does not violate any applicable law, including laws governing privacy, defamation, or obscenity

  • You will not use the platform to facilitate unauthorized distribution, public performance, or reproduction of copyrighted works

  • You accept full and sole legal liability for any third-party claims arising from content you submit or link

c. Platform as information locator

Monkey Library operates as a metadata index and viewer interface, not a content host. The platform does not transmit, redistribute, or publicly perform any media content. Playback of any linked media requires authentication, an active subscription, and Space membership. No content is publicly accessible without these access controls.

d. Private storage use

Users who store media files in private third-party storage accounts (such as a private Google Drive or Dropbox) and link those files through Monkey Library for personal organization purposes do so entirely under their own responsibility. Tech Bedoya Inc. does not facilitate the copying, downloading, or transfer of any media file. The platform solely stores a reference URL and associated metadata provided by the user.

e. Content removal

Tech Bedoya Inc. reserves the right to remove any metadata record or disable any external link within the platform at any time, without notice, if we receive a valid copyright takedown notice or have reasonable grounds to believe the content violates these Terms or applicable law. 6. Intellectual Property

a. Ownership

All content, trademarks, and other intellectual property associated with the App are owned by Tech Bedoya Inc. or its licensors. You are granted a limited, non-exclusive, non-transferable license to access and use the App for personal, non-commercial purposes.

b. Restrictions

You may not copy, modify, distribute, sell, or lease any part of the App or its content, nor may you reverse engineer or attempt to extract the source code of the App, except as permitted by law.

7. Privacy Policy

Your use of the App is also governed by our Privacy Policy, which outlines how we collect, use, and protect your information. By using the App, you agree to the terms of our Privacy Policy.

8. Disclaimers and Limitation of Liability

a. No Warranties

The App is provided "as is" and "as available" without any warranties of any kind, either express or implied. We do not guarantee that the App will be available at all times, or that it will be error-free or free from viruses or other harmful components.

b. Limitation of Liability

To the fullest extent permitted by law, Tech Bedoya Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (i) your use or inability to use the App; (ii) any unauthorized access to or use of our servers and/or any personal information stored therein; (iii) any interruption or cessation of transmission to or from the App; or (iv) any bugs, viruses, trojan horses, or the like that may be transmitted to or through the App by any third party.

9. Indemnification

You agree to indemnify and hold harmless Tech Bedoya Inc., its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from your use of the App, your violation of these Terms, or your infringement of any third-party rights.

10. Modifications to the Terms

We may modify these Terms at any time by posting the revised version within the App. The updated Terms will be effective as of the "Last Updated" date indicated above. Your continued use of the App after any changes to these Terms constitutes your acceptance of the revised Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Quebec, Canada, without regard to its conflict of law principles. Any legal action or proceeding related to your use of the App shall be brought exclusively in the courts located in Quebec, Canada.

13. General Provisions

a. Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable. If modification is not possible, the provision shall be severed from these Terms. The remaining provisions shall continue in full force and effect and shall not be affected by any such invalidity or unenforceability.

b. Waiver

No failure or delay by Tech Bedoya Inc. in exercising any right, power, or privilege under these Terms shall operate as a waiver of that right, power, or privilege. No single or partial exercise of any right, power, or privilege shall preclude any further or other exercise of that or any other right, power, or privilege. A waiver of any breach or default under these Terms shall not constitute a waiver of any subsequent breach or default.

c. Entire agreement

These Terms, together with the Privacy Policy, Cookie Policy, Refund & Cancellation Policy, and DMCA & Copyright Policy — all available at monkeylibrary.app — constitute the entire agreement between you and Tech Bedoya Inc. with respect to your use of the App and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, whether written or oral, regarding the App.

d. Assignment

You may not assign or transfer any of your rights or obligations under these Terms without the prior written consent of Tech Bedoya Inc. Tech Bedoya Inc. may freely assign or transfer its rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets. These Terms shall be binding upon and inure to the benefit of the parties and their respective permitted successors and assigns.

e. Language

These Terms are drafted in English. In the event of any conflict or inconsistency between the English version and any translation, the English version shall prevail to the fullest extent permitted by applicable law, including the laws of the Province of Quebec.
